Terms of Service

These Terms of Service ("Terms") govern your use of this website and any services provided by VelociTECH ("VelociTECH", "we", "us"). By using the website or engaging our services, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you have authority to bind that business.

1. Our services

We provide business messaging setup and management on the WhatsApp Business Platform, chatbot and conversation design, campaign management, integrations, AI automation and n8n workflow development (the "Services"). Descriptions on this website are for general information only. The exact scope, deliverables, timeline and fees for any engagement are set out in a written proposal, statement of work or order form (a "Proposal"). If a Proposal conflicts with these Terms, the Proposal prevails for that engagement.

Our services are offered to businesses, not to consumers for personal use.

2. Quotes, fees and payment

  • Fees are quoted individually in each Proposal. Prices are not published on this website.
  • Invoices are payable within the period stated in the Proposal, or 7 days if none is stated. Applicable taxes are added where required.
  • Third-party costs are billed by those providers directly to you at their rates, or passed through at cost if agreed. These include Meta's conversation charges, messaging platform subscriptions, cloud hosting and AI model usage.
  • Where a Proposal includes a performance-based installment, the goals and how they are measured are defined in the Proposal before work begins.
  • We may pause work on overdue accounts after giving written notice.

3. Your responsibilities

  • Provide accurate information, timely access, approvals and content.
  • Hold the rights to any content, data and contact lists you give us.
  • Obtain and record valid consent from the people you message or call, and honor opt-outs, as required by Meta's policies and applicable law. This includes TCPA, CAN-SPAM and state laws (US), PECR and UK GDPR (UK), CASL (Canada) and the Spam Act 2003 and Do Not Call Register Act 2006 (Australia).
  • Comply with the WhatsApp Business Terms of Service, Business Messaging Policy and Commerce Policy, and with our Acceptable Use & Anti-Spam Policy.
  • Keep your account credentials secure and keep ownership of your Meta Business portfolio, phone numbers and hosting accounts.

4. Third-party platforms

The Services rely on platforms we do not control, including Meta, n8n, cloud hosts, AI model providers, payment providers and CRMs. Their terms apply to your use of them. We are not responsible for their availability, policy changes, pricing changes, account reviews, verification decisions, template rejections or restrictions. We will help you respond to them where reasonably possible.

5. AI features

AI-generated responses can be inaccurate or incomplete. You are responsible for reviewing AI configurations and outputs before relying on them, and for disclosing the use of AI to your customers where the law requires it. We configure assistants and voice agents to identify themselves as automated and to hand over to a person on request.

6. Intellectual property

When you have paid in full, you own the deliverables created specifically for you, including your workflows, content and configurations. We keep ownership of our pre-existing tools, templates, know-how and general-purpose components, and grant you a non-exclusive, perpetual licence to use any of them included in your deliverables. Open-source software, including n8n, remains subject to its own licence terms.

7. Confidentiality and data protection

Each party will keep the other's confidential information confidential and use it only for the engagement. Where we process personal data on your behalf, we do so only on your documented instructions and under a data processing agreement, which we will sign on request, including the UK/EU Standard Contractual Clauses where needed. Our Privacy Policy explains how we handle our own business data.

8. Warranties

We will perform the Services with reasonable skill and care, in line with good industry practice. Apart from that, and to the extent the law allows, the Services and website are provided "as is". We do not guarantee specific business results, approvals by Meta or other platforms, or uninterrupted operation of third-party services, except where a Proposal sets out an agreed performance target.

9. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Each party's total liability arising from an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, death or personal injury caused by negligence, or rights you have under the Australian Consumer Law or other non-excludable consumer guarantees.

10. Indemnity

You will indemnify us against third-party claims, fines and penalties arising from your content, your contact lists, messages sent or calls made without valid consent, or your breach of platform policies or applicable law.

11. Term and termination

Each engagement runs for the term in its Proposal. Either party may end an engagement for material breach that isn't fixed within 14 days of written notice. Notice periods, minimum terms and refunds are covered in our Refund & Cancellation Policy and the Proposal. When an engagement ends, we will hand over your credentials, workflows and data, and remove our access.

12. Trademarks

WhatsApp and Meta are trademarks of Meta Platforms, Inc. n8n is a trademark of n8n GmbH. Other product names belong to their respective owners. VelociTECH is an independent service provider and is not affiliated with, endorsed by or sponsored by Meta, WhatsApp or n8n.

13. Governing law

These Terms are governed by the laws of India, and the courts of New Delhi have jurisdiction. This doesn't remove any mandatory protections you have under the laws of your own country. A Proposal may specify a different governing law.

14. Changes

We may update these Terms by posting a new version on this page. Changes do not affect Proposals already signed.
